1. ACCEPTANCE OF TERMS
By accessing and using the Ranberries Media Agency website (ranberries.com) or engaging our services, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree, please discontinue use of our website immediately.
2. SERVICES
Ranberries Media Agency provides digital marketing services including but not limited to:
- Performance Marketing (Google, Meta, TikTok Ads)
- Search Engine Optimisation (SEO)
- Social Media Marketing and Management
- Email Marketing and Automation
- Video Marketing and Production
- Digital Strategy Consulting
- Branding and Visual Identity
- Offline and Experiential Marketing
The scope, deliverables, timelines and fees for each engagement are defined in a separate Service Agreement or Statement of Work signed by both parties.
3. INTELLECTUAL PROPERTY
All content on this website including text, graphics, logos, images, and software is the property of Ranberries Media Agency and is protected by applicable intellectual property laws.
You may not reproduce, distribute, modify or create derivative works without our prior written consent.
Work created by Ranberries for clients becomes the client's property upon full payment of all outstanding invoices.
4. CLIENT RESPONSIBILITIES
Clients agree to:
- Provide accurate and complete information required for service delivery
- Supply necessary assets, approvals and feedback in a timely manner
- Ensure all content provided to Ranberries does not infringe any third-party rights
- Make payments as agreed in the Service Agreement
5. PAYMENT TERMS
- Invoices are due as specified in the Service Agreement
- Late payments may incur a 5% monthly interest charge
- Ranberries reserves the right to pause or terminate services for non-payment
- All fees are non-refundable unless otherwise agreed in writing
6. CONFIDENTIALITY
Both parties agree to keep confidential any proprietary or sensitive information shared during the course of the engagement. This obligation survives termination of services for a period of two (2) years.
7. LIMITATION OF LIABILITY
Ranberries Media Agency shall not be liable for:
- Indirect, incidental or consequential damages
- Loss of profits, revenue or data
- Results of third-party platform algorithm changes (Google, Meta, TikTok etc.)
- Delays caused by client failure to provide required materials
Our total liability shall not exceed the total fees paid by the client in the three months preceding the claim.
8. TERMINATION
Either party may terminate a service engagement with 30 days written notice. Upon termination:
- All outstanding invoices become immediately payable
- Ranberries will deliver all completed work to date
- Client access to Ranberries tools and accounts will be removed
9. GOVERNING LAW
These Terms of Service are governed by the laws of the Federal Republic of Nigeria. Any disputes shall be resolved through arbitration in Lagos, Nigeria before resorting to litigation.
10. CHANGES TO TERMS
We reserve the right to modify these terms at any time. Updated terms will be posted on this page. Continued use of our website or services constitutes acceptance of the revised terms.
